Banco Bilbao Vizcaya Argentaria completed 1,000 million euros first buyback tranche
Banco Bilbao Vizcaya Argentaria completed the First Tranche of its share buyback, acquiring 40,204,840 own shares for 1,000 million euros.
What happened
Banco Bilbao Vizcaya Argentaria filed Form 6-K with the SEC on 2026-10-02. According to the company, the maximum monetary amount of 1,000 million euros communicated in the II for the Execution of the First Tranche has been reached. The total number of shares acquired during the execution of the First Tranche is 40,204,840 own shares.
The shares acquired represent, approximately, 0.73% of BBVA's share capital as of this date. Based on information received from HSBC Continental Europe as manager of the First Tranche, BBVA carried out transactions on its own shares. It carried out the transactions on its own shares in execution of the First Tranche on October 1.
Cancellation would shrink the number of outstanding shares
Its purpose was to reduce BBVA's share capital by means of the redemption of the shares acquired. According to the company, cancellation of the acquired shares was therefore the stated aim of this tranche.
Redemption here means cancellation: the repurchased shares disappear rather than being held or reissued. That lowers the share count, so each remaining share represents a slightly larger portion of the company.
Tranche followed formal July notice to Spanish supervisor
Further to the notice of the Inside Information of July 30, 2026, with CNMV registration number 3316, BBVA communicated the execution of the First Tranche. That earlier notice was the formal step that announced the start of this part of the programme.
The later filing placed completion of the tranche in the formal disclosure record for foreign issuers. For private investors, that record provides the verifiable endpoint of the tranche rather than market commentary.
