Amazon closed £4.242 billion bond sale
Amazon closed a bond sale with an aggregate public offering price of £4.242 billion, according to the company.
What happened
Amazon.com, Inc. closed the sale of the Notes on September 14, 2026. The sale followed an Underwriting Agreement dated September 9, 2026 among the Company and the several underwriters named therein. According to the company, the transaction completed as set out in the filing.
The sale comprised £1,250,000,000 aggregate principal amount of its 5.200% notes due 2029 and £1,000,000,000 aggregate principal amount of its 5.550% notes due 2032. The term notes means bonds that pay a fixed interest rate and repay the borrowed amount at maturity. The aggregate public offering price of the Notes was £4.242 billion.
The sale also comprised £1,000,000,000 aggregate principal amount of its 6.250% notes due 2038 and £1,000,000,000 aggregate principal amount of its 6.650% notes due 2045. Principal amount means the amount borrowed that must be repaid at the end of the term. According to the company, those tranches completed alongside the other Notes.
Bond sale set proceeds and borrowing terms for years ahead
The estimated net proceeds from the offering were approximately £4.235 billion, after deducting underwriting discounts from the public offering price and before deducting offering expenses payable by us. Underwriting discounts are fees paid to the parties that arranged and sold the Notes. According to the company, those expenses remained separate from the discount calculation.
For investors, the difference between the offering price and net proceeds showed the direct cost of issuing debt. The fixed interest rates and staggered maturities defined payment obligations over different periods.
